AMENDED ARTICLES OF INCORPORATION

MIDSTATE CO-OP

As Amended January 18, 2012

Pursuant to RCW 23.86.050, this cooperative corporation hereby adopts these amended Articles of Incorporation and accepts the benefits and will be bound by RCW Ch. 23.86.

ARTICLE I – NAME

The name of this Cooperative shall be Midstate Co-op.

ARTICLE II – DURATION

The period of existence of this Cooperative shall be perpetual.

ARTICLE III – PLACE OF BUSINESS

The principal place of business of this Cooperative shall be located in the City of Ellensburg, County of Kittitas, State of Washington.

ARTICLE IV – PURPOSES

Section 1. The purposes of this Cooperative and the enterprise, business and pursuit in which it proposes to engage are to do any or all of the following on a nonprofit, cooperative basis as agent for its members:

To promote and provide a medium for unity of effort for the improvement of farmers and associations of farmers, and to encourage and develop cooperation between producers and consumers.
